Welcome to Florida Filings (operated by Blazing Star LLC). By using our website and services, you agree to comply with and be bound by the following Terms of Service. Please review them carefully.
1. Description of Services
Florida Filings acts as a third-party courier and document preparation service. We assist clients by physically delivering business entity registration documents, amendments, and related paperwork directly to the Florida Department of State (DOS) in Tallahassee, Florida. We offer preparation services (Option 1) and courier-only services for client-prepared documents (Option 2).
2. Not a Law Firm; No Legal or Financial Advice
Florida Filings is not a law firm. The employees of Florida Filings are not acting as your attorney. Our services, including document preparation and Registered Agent services, do not constitute legal, tax, or financial advice. We operate solely at your direction to complete state-required forms. If you require legal or tax advice regarding the structuring of your business, tax implications, or liability protections, you should consult with a licensed attorney or certified public accountant.
3. Processing Times and State Authority
- Delivery Guarantee: Orders successfully submitted and paid for by 1:00 PM Eastern Time on a business day will be physically delivered to the Florida DOS on that same day.
- State Approval: We guarantee the delivery of your documents, but we do not control the Florida Department of State. While hand-delivered documents typically appear on Sunbiz the following business day, the DOS sets its own processing schedules, which may be delayed due to state holidays, volume, or system outages.
- Rejections: If the state rejects your filing due to an error in the information you provided, or due to a name availability issue, you are responsible for any additional state fees required to resubmit.
4. User Responsibilities
You agree to provide true, accurate, and complete information when submitting an order. For Option 2 (Courier Only), you agree that you have accurately completed the forms and that they meet the Florida Department of State's filing requirements. You agree to hold Florida Filings harmless for any consequences arising from inaccurate, fraudulent, or non-compliant information you provide.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLORIDA FILINGS PROVIDES ITS SERVICES "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT YOUR ENTITY WILL PROVIDE SPECIFIC LIABILITY PROTECTION, TAX BENEFITS, OR COMPLY WITH ALL LOCAL, STATE, AND FEDERAL LAWS APPLICABLE TO YOUR SPECIFIC INDUSTRY.
6. Limitation of Liability

IN NO EVENT SHALL FLORIDA FILINGS, BLAZING STAR LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION ARISING FROM YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, FLORIDA FILINGS' LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO FLORIDA FILINGS FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM, EXCLUDING STATE FILING FEES.
7. Indemnification
You agree to defend, indemnify, and hold harmless Florida Filings, Blazing Star LLC, and its affiliates, directors, officers, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to our services; (b) your violation of any term of these Terms of Service; (c) your violation of any third-party right, including without limitation any intellectual property, trademark, or privacy right; or (d) any claim that the information you provided caused damage to a third party or violated state/federal laws.
8. Dispute Resolution, Binding Arbitration, and Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms of Service, the breach thereof, or the services provided by Florida Filings, shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The place of arbitration shall be Leon County, Florida. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
CLASS ACTION WAIVER: You agree that you may bring claims against Florida Filings only in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Leon County, Florida.
10. Force Majeure
Florida Filings shall not be held liable for any delay or failure to perform our obligations under these terms if such delay or failure is caused by an event beyond our reasonable control, including but not limited to: acts of God, hurricanes, severe weather, natural disasters, state office closures or reduced operating hours, internet or system outages at the Florida Department of State, government mandates, pandemics, or labor strikes.
11. Severability
If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable in any respect under any applicable law or rule in any jurisdiction, such invalidity, illegality, or unenforceability will not affect any other provision or any other jurisdiction, but these Terms will be reformed, construed, and enforced as if such invalid, illegal, or unenforceable provisions had never been contained herein.
Privacy Policy
Florida Filings respects your privacy and is committed to protecting your personal data. This Privacy Policy outlines how we collect, use, and share your information when you visit our website or use our services.
1. Information We Collect
- Personal Identification Information: Name, email address, phone number, and billing address.
- Business Information: Proposed company names, member/officer names, business addresses, and other details required by the State of Florida to process your corporate filings.
- Payment Information: Credit card or bank details. (Note: We use secure, third-party payment processors. We do not store full credit card numbers on our servers).
2. How We Use Your Information
We use the collected information strictly for the purpose of fulfilling your requested services. This includes:
- Preparing and filing your legal documents with the Florida Department of State.
- Communicating with you regarding the status of your filing.
- Processing your payments and issuing invoices/receipts.
- Providing ongoing Registered Agent services (if selected).
3. Public Records Disclosure (Important)
Please be aware that any information submitted on your corporate filing documents (such as Articles of Organization or Incorporation) becomes a matter of public record in the State of Florida. Once filed, this information is searchable and publicly visible on the state's Sunbiz database. Our "Complete Anonymity Shield" utilizes specific legal strategies (such as using our address) to minimize your personal exposure, but it is subject to the limitations of Florida public record laws.
4. Sharing of Information
We do not sell, trade, or rent your personal information to third-party marketers. Your information is only shared with:
- The Florida Department of State: To execute your filing.
- Service Providers: Such as secure payment processors and email platforms necessary to deliver our services.
- Law Enforcement: If required by law or subpoena.
Refund Policy
Because of the rapid nature of our same-day filing services and our financial commitments to the state, our refund policy is strictly enforced based on the status of your order.
1. Cancellation Before Delivery to the State
If you request a cancellation before we have physically delivered your paperwork to the Florida Department of State, we will issue a full refund, minus a $50 administrative cancellation fee to cover payment processing and document review time.
2. Cancellation After Delivery to the State (Non-Refundable)
Once your documents have been handed over to the Florida Department of State counter, we cannot issue a refund under any circumstances. State filing fees are strictly non-refundable by the state of Florida. Because we complete deliveries same-day (often within hours of your order), the window for cancellation is extremely narrow.
3. State Rejections
If the Florida DOS rejects your filing due to an error on our part (in Option 1), we will correct the error and hand-deliver the corrected forms at no additional cost to you. If the filing is rejected due to a name conflict or an error in the information you provided (in either Option 1 or Option 2), the state fees are forfeit, and a new order must be placed to process the corrected documents.
4. How to Request a Refund
To request a cancellation and refund (prior to state delivery), you must immediately call us at 850-299-9966 or email Support@FloridaFilings.com with "URGENT CANCELLATION" in the subject line. Time is of the essence.
